POSITION SUMMARY: The position notably comprises the following sets of duties, responsibilities and activities:
Key legal partner supporting Nestlé’s worldwide and central R&D entities: •Relationship lawyer for R&D managers (e.g. NPTC heads); •Gain a solid overview of the R&D strategy and priorities and proactively discuss key external collaboration projects with R&D clients to be able to assess legal implications and required agreements as early as possible.
Ensuring legal support on the following matters: •Support to R&D for key external collaboration agreements and for setting up the contractual framework with strategic innovation partners managed centrally; •Implementation of template agreements, best practices and guidelines regarding the management of R&D contracts internally and with external partners; •Compliance matters relevant to R&D (biodiversity, clinical trials, public grants, etc), and enforcement of Nestlé’s policies; •Support R&D related external dispute resolution in coordination with the wider Legal and Compliance function and external counsel as needed; •Any other legal questions from R&D clients, in cooperation with other lawyers in the Nestlé legal and compliance function or external counsel as needed.
PRIMARY RESPONSIBILITIES: •Expert in drafting and negotiating R&D agreements •Prepare contractual and IP strategy for innovation projects done in collaboration with third parties (start-ups, research institutes, commercial suppliers, strategic innovation partners, universities, consultants, etc); •Draft, negotiate and provide legal support on R&D agreements (development agreements, university research agreements, service agreements, trials agreements, material transfer agreements, clinical trials agreements, patent acquisitions, in-licensing and out-licensing agreements), ensuring without limitation proper drafting of protective and business-oriented IP clauses •Coordinate with R&D management, contract managers, scientists/ R&D project managers, patent attorneys, regulatory, procurement and other stakeholders •Prepare guidelines, best practices, templates and provide legal training to Nestlé’s worldwide and central R&D entities •Draft and assist in the drafting of guidelines and best practices for the R&D community and for local contract managers •Prepare and update template agreements for R&D •Provide legal training to local contract managers, alliance managers and to scientists/ R&D project managers regarding matters such as management of confidential information, legal R&D guidance and best practices, rules regarding R&D agreements, use of the Nestlé templates, etc. •Legal review of various internal processes, policies, guidelines or initiatives impacting the R&D organization •Management of legal content with Alliance and Contract Managers •Identify legal R&D topics of relevance to the network, prepare presentations in cooperation with the Legal R&D team or other lawyers •Enhance and improve network organization and engagement of key stakeholders and participants •Contribute to the legal content and organization of network workshops and training sessions •Disseminate templates, guidance notes and other relevant information to the network •Provide guidance and legal support regarding patent and technical IP related issues for Nestle USA businesses •Support ongoing and future litigation related to patents, confidentiality and trade secrets for Nestle USA business •Draft and assist in contract negotiations related to patents, confidentiality, and trade secrets •In coordination with broader Legal R&D team, review and communicate patent related risks to the Nestle USA business •Prepare and provide legal trainings related to technical intellectual property issues
REQUIREMENTS AND MINIMUM EDUCATION LEVEL: •JD from accredited law school •Current membership in the Ohio State Bar or the ability to become Registered In-House Counsel in Ohio •5-10 years’ experience in an international environment (top law firms, multinational companies, research entities) •Solid background in R&D •Technical IP litigation experience desired •Scientific qualification would be a bonus •Solid knowledge of technical IP matters, patents, drafting and negotiating license and technology transfer, R&D agreements •Ability to manage the legal aspects of complex projects with multiple stakeholders •Strategic thinker and proactive lawyer, with solid business acumen •Good team working skills •Full command of written and oral English
